Vendor & Service Provider Agreement – Worldwide (BazaarBound)

 

Effective Date: 14/08/2025

 

1. Scope & Application

 

This Agreement applies to all vendors and service providers (“Vendor”, “Provider”, “you”) selling digital products, AI tools, or services on BazaarBound.com (“BB”, “we”, “our”).

It is enforceable worldwide, including North America, Europe, Asia, Africa, Latin America, Middle East, and Oceania.

Vendors and providers must comply with all applicable IP, tax, privacy, export control, consumer protection, and e-commerce laws in both their jurisdiction and the buyer’s jurisdiction.

 

2. Eligibility

 

You must:

 

Be 18+ or of legal age in your jurisdiction

 

Maintain a valid account with accurate information

 

Provide your legal name, address, and payout method (PayPal or bank details)

 

Comply with all global legal and regulatory requirements

 

3. Responsibilities

 

You agree to:

 

List accurate product/service descriptions, pricing, and licensing terms

 

Deliver digital products promptly and maintain working download links for at least 12 months

 

Deliver services by the agreed timeline and provide progress updates

 

Respect agreed revision terms and communicate professionally with buyers

 

Secure buyer data and comply with GDPR, CCPA, and global privacy laws

 

Assume full responsibility for your listings, transactions, and conduct on BB

 

4. AI Content & Automation

 

If you sell AI products or offer AI-driven services, you must:

 

Disclose that the product/service uses AI

 

Ensure AI-generated content does not infringe IP or privacy rights

 

Avoid using unauthorized or pirated training data

 

Provide accurate metadata and disclaimers where required

 

5. Prohibited Activities

 

You may not:

 

Upload infringing, counterfeit, stolen, or unlicensed content

 

Circumvent BB’s payment system or conduct off-platform transactions to avoid fees

 

List prohibited or illegal services/products under applicable law

 

Engage in deceptive, misleading, or fraudulent practices

 

Violate OFAC, EU, UN, or other international sanctions programs

 

6. Fees & Payments

 

BB currently offers 0% commission for a limited time, after which a flat or variable commission applies (15+ days’ notice will be given).

 

Payouts are processed via PayPal or bank transfer, and you are responsible for all bank fees, conversion costs, and taxes.

 

BB may hold funds in cases of disputes, chargebacks, or fraud until resolution.

 

Future subscription plans may allow reduced commission in exchange for monthly fees.

 

7. Intellectual Property

 

You retain ownership of your original work but grant BB a non-exclusive, worldwide, royalty-free license to display, market, and distribute your content to operate the marketplace.

 

You warrant that your uploads are free of malware and will not harm BB or its users.

 

You agree to indemnify BB for IP infringement claims related to your content.

 

8. Dispute Resolution

 

Disputes between you and buyers will first be mediated by BB.

 

International disputes may be resolved through binding arbitration under UNCITRAL or ICC rules.

 

Proceedings will be in English, and arbitration awards will be final and enforceable worldwide.

 

9. Enforcement & Termination

 

BB may:

 

Remove products/services or suspend/terminate accounts without notice for violations

 

Block accounts, IPs, or regions for repeated non-compliance

 

Retain or withhold earnings in cases of infringement, fraud, or breach of contract

 

Pursue legal action to recover damages, including legal costs

 

10. Limitation of Liability

 

BB acts as an intermediary platform.

You are solely responsible for your listings, service outcomes, and legal compliance. BB’s liability is limited to amounts earned but unpaid at the time of termination, unless otherwise required by law.

 

11. Changes to Agreement

 

BB may update this Agreement to reflect changes in law, technology, or operations. Updates are posted on the website and effective immediately unless stated otherwise.
